These Terms of Use (“Terms”) govern your access to and use of pairops.com, workspace.pairops.com, and any related pages, features, tools, and content (collectively, the “Site” and “Services”) made available by Meraki Management and Consulting, LLC, doing business as PairOps (“PairOps,” “we,” “us,” or “our”). The “Site” refers to the public-facing website at pairops.com. “Services” refers to the authenticated workspace at workspace.pairops.com, including all tools, features, and functionality available to registered operators.
By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
You may use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend, block, or terminate access to the Site or Services at any time if we believe you have violated these Terms or used the Site or Services in a manner that creates risk for us or others.
The PairOps Workspace (workspace.pairops.com) is an authenticated environment available to approved operators in the PairOps network. Access requires account credentials managed through a third-party authentication provider (Memberstack). By creating and using a workspace account, you agree to the following:
Tools and features. The Workspace provides access to tools including the SOP Generator, SOP Library, Compliance and Deadline Tracker, Cultivation Cost Calculator, Crop Diagnostics, My Profile editor, operator inbox, and industry alerts. These tools may be updated, modified, or discontinued at any time. Features may be added, changed, or removed without prior notice.
As-is basis. All workspace tools and features are provided on an “as-is” and “as-available” basis. PairOps does not warrant that tools will be uninterrupted, error-free, accurate, complete, or available at all times. The Workspace is under active development and may contain experimental or beta features.
AI-generated content. The SOP Generator and Crop Diagnostics tools use a third-party AI service (Anthropic’s Claude API) to process operator inputs and generate content. All AI-generated content, including SOPs, diagnostic suggestions, and recommendations, is provided for informational and drafting purposes only. You are solely responsible for reviewing, verifying, and approving all AI-generated content before use. PairOps does not guarantee the accuracy, completeness, legality, regulatory compliance, safety, or suitability of any AI-generated output.
Data handling. By using workspace tools, you acknowledge that operational data you enter may be processed by third-party AI and cloud infrastructure providers to deliver the requested services. Data handling practices are described in our Privacy Policy.
Account security. You are responsible for maintaining the strict confidentiality of your workspace login credentials and for all activity that occurs under your account. Account sharing between individuals or entities is prohibited. You must notify PairOps promptly at legal@pairops.com if you become aware of any unauthorized use of your account or any other breach of security. PairOps reserves the right to reset credentials or suspend access if a security concern is identified.
ALL AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICES, INCLUDING BUT NOT LIMITED TO STANDARD OPERATING PROCEDURES, CROP DIAGNOSTIC SUGGESTIONS, AND OPERATIONAL RECOMMENDATIONS, IS PROVIDED FOR INFORMATIONAL AND DRAFTING PURPOSES ONLY. AI-GENERATED CONTENT DOES NOT CONSTITUTE AND MUST NOT BE RELIED UPON AS LEGAL, REGULATORY, COMPLIANCE, AGRICULTURAL, SAFETY, HUMAN RESOURCES, QUALITY ASSURANCE, OR OTHER PROFESSIONAL ADVICE.
Without limiting the generality of the foregoing:
You assume full responsibility for the review, approval, and implementation of any AI-generated content in your operations. PairOps makes no representations that generated outputs meet any specific state cannabis regulations, federal requirements, OSHA workplace safety standards, or industry best practices.
In addition to the general use restrictions in Section 1, workspace users agree not to:
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.
The Site, Services, and all content (including AI-generated content) are provided for general informational purposes only. Nothing on the Site or in the Services constitutes legal, financial, tax, accounting, regulatory, employment, investment, agricultural, safety, or other professional advice.
Your use of the Site or Services, submission of a contact form, or communication with us through the Site or Services does not create a client, advisory, fiduciary, employment, partnership, joint venture, agency, or similar relationship.
Any engagement for managed services must be set forth in a separate written agreement signed by both parties.
PairOps Direct is a separately managed engagement service. These Terms govern your use of the Site and Services only. PairOps Direct engagements are governed exclusively by separate written agreements between the parties. These Terms do not apply to PairOps Direct engagements unless expressly incorporated by reference in a signed engagement agreement.
Public site submissions. Do not submit confidential, proprietary, or highly sensitive information through general contact forms on the public Site unless and until we have expressly agreed in writing to receive it. Information you submit through general contact forms or unsolicited communications via the public Site will not be treated as confidential except as required by applicable law or a written agreement between you and us.
Authenticated workspace content. Content you create, upload, or store within the authenticated Workspace (including SOPs, profile information, compliance data, and messages) is treated differently from unsolicited public site submissions. PairOps will use reasonable measures to protect the confidentiality of your workspace content, subject to the following: PairOps may access workspace content as necessary to provide the Services, maintain platform security, enforce these Terms, comply with legal obligations, and prevent abuse. Workspace content may be processed by third-party service providers as described in our Privacy Policy. PairOps does not guarantee absolute confidentiality of workspace content and is not liable for unauthorized access resulting from factors beyond its reasonable control.
PairOps property. The Site, Services, and all content, features, functionality, text, graphics, logos, icons, designs, layouts, software, system prompts, data architecture, tool interfaces, templates, and other materials are owned by PairOps (or Meraki Management and Consulting, LLC) or its licensors and are protected by intellectual property and other applicable laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Services for your internal, non-commercial informational and operational use.
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any part of the Site or Services except as expressly permitted by these Terms or with our prior written consent.
Your inputs. You retain all rights, title, and interest in the content you submit to the Services, including information entered into workspace tools, profile data, and messages (“User Content”). By submitting User Content, you grant PairOps a limited, non-exclusive license to host, store, process, display, and transmit your User Content solely as necessary to provide the Services.
Generated output. Content generated by AI-powered tools in response to your inputs (“Generated Output”) is made available to you for your internal business use. Due to the nature of generative AI, Generated Output may not be unique across different users who provide similar inputs. PairOps does not claim ownership of Generated Output but retains all rights in the underlying tools, system prompts, templates, and platform architecture used to produce it.
Responsibility. You are solely responsible for reviewing and verifying all User Content and Generated Output. PairOps is not responsible for the accuracy, completeness, legality, or fitness for purpose of any User Content or Generated Output.
If you provide us with suggestions, ideas, comments, or other feedback relating to the Site, Services, or our business (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and otherwise exploit that Feedback without restriction or obligation to you. Feedback does not include User Content stored in the Workspace, confidential business information, or Generated Output, which are governed by Section 5 and the Privacy Policy.
The Site and Services may contain links to third-party websites or services. These links are provided for convenience only. We do not control and are not responsible for third-party content, policies, or practices. Accessing third-party sites is at your own risk.
By using the Services, you represent and warrant that:
PairOps operates as a technology and network platform. PairOps does not cultivate, manufacture, distribute, or handle cannabis or cannabis products.
PairOps is a technology and network platform that serves professionals who operate in the cannabis industry. PairOps is not a cannabis licensee, is not a plant-touching business, and does not cultivate, manufacture, distribute, or handle cannabis or cannabis products. Both parties acknowledge that cannabis remains classified as a controlled substance under federal law, while various states have enacted laws permitting cannabis-related commercial activity within their jurisdictions.
By using the Site or Services, you acknowledge this conflict between state and federal law and agree that neither party shall assert the federal classification of cannabis as a defense to the enforcement of these Terms or any obligation arising under them. This acknowledgment does not constitute legal advice regarding the legality of any particular activity.
Suspension and termination. PairOps may suspend, deactivate, or terminate your workspace account and access to the Services at any time, with or without notice, for any of the following reasons: violation of these Terms or the Acceptable Use Policy; loss of state cannabis licensing or regulatory authorization; suspected fraudulent, abusive, or unlawful activity; security concerns; extended account inactivity; or for any other business reason at our discretion.
Effect of termination. Upon termination, your right to access the Workspace and Services ceases immediately. Your public operator profile will be removed from the directory. PairOps is not obligated to retain, export, or provide access to your User Content, Generated Output, or other workspace data following termination, except as required by applicable law or a separate written agreement.
Data requests. Prior to account termination, you may request export of your profile data and saved SOPs by contacting privacy@pairops.com. PairOps will make reasonable efforts to accommodate export requests, subject to technical limitations and applicable law.
Survival. The following sections survive termination of your account: Sections 1B (AI Disclaimers), 3 (Confidentiality), 4 (Intellectual Property), 5 (User Content and Generated Output), 6 (Feedback), 9 (Cannabis Industry Acknowledgment), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Governing Law and Venue).
The Services are under active development. Features and tools may be experimental, in beta, or subject to change. PairOps reserves the right to modify, suspend, or discontinue any part of the Services at any time without prior notice. PairOps does not guarantee any level of uptime, availability, or performance for the Services.
THE SITE, SERVICES, AND ALL CONTENT (INCLUDING AI-GENERATED CONTENT) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIROPS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any content (including AI-generated content, compliance data, or diagnostic suggestions) is accurate, complete, current, or suitable for any particular use.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIROPS AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM AI-GENERATED CONTENT, WORKSPACE TOOL FAILURES, DATA LOSS, OR THIRD-PARTY SERVICE INTERRUPTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PAIROPS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE, SERVICES, OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain disclaimers or limitations of liability, so portions of this section may not apply to you.
You agree to indemnify and hold harmless PairOps, Meraki Management and Consulting, LLC, and their respective affiliates, officers, managers, employees, contractors, and service providers from and against any and all claims, losses, liabilities, damages, costs, and reasonable attorneys’ fees arising from:
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute relating to the Site, Services, or these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to that jurisdiction and venue.
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of the Site or Services after updated Terms become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PairOps regarding the Site and Services, and supersede prior understandings relating to the Site and Services. These Terms do not govern any PairOps Direct engagement, operator agreement, client agreement, non-disclosure agreement, data processing agreement, or other written agreement signed separately between the parties, except to the extent expressly incorporated by reference therein.
The Services are not designed to process, store, or manage the following categories of information, and you agree not to enter such information into the Services unless covered by a separate written agreement with PairOps:
PairOps is not liable for any claim arising from your entry of restricted data into the Services in violation of this section.
